Tensor Archive Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and ExcursionPass Inc., the Delaware corporation that operates Tensor Archive (“ExcursionPass,” “Tensor Archive,” “we,” “us,” or “our”). These Terms govern your access to and use of tensorarchive.ai and its related pages, downloads, checkout, licensing, update, verification, network, and support services (collectively, the “Services”).

The Tensor Archive desktop application and the proprietary Tensor-to-Tensor Transport protocol are also governed by the Tensor Archive End User License Agreement (the “EULA”). If these Terms conflict with the EULA about the installation or use of the Software, the EULA controls. A separately signed Enterprise agreement or order form controls over both documents to the extent of a conflict.

By selecting an “Accept & Download” button, starting a trial, purchasing or activating a license, installing or using the Software, or otherwise using the Services, you agree to these Terms and the EULA. If you do not agree, do not download, install, or use the Services or Software.

1. Who We Are

ExcursionPass Inc. is the seller and licensor of Tensor Archive Local Pro. Stripe and any other payment provider act as payment processors and do not license Tensor Archive to you.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding contract. You may not use the Services if applicable law prohibits you from doing so.

If you use the Services for or on behalf of a company, government body, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization, and the organization is responsible for your use and the use of anyone it authorizes.

3. Definitions

For these Terms:

  • “Affiliate” means an entity that directly or indirectly controls, is controlled by, or is under common control with another entity. “Control” means ownership of more than 50% of voting interests or the legal power to direct the entity’s management.
  • “Commercial Lifetime” means the period during which ExcursionPass or its successor continues to operate and make Tensor Archive Local commercially available as a product. It does not mean the lifetime of a purchaser, user, device, ExcursionPass, or any individual.
  • “Enterprise Customer” means an organization that, together with its Affiliates, has either (a) 250 or more employees and individual contractors, calculated on a full-time-equivalent basis, or (b) more than USD $20 million in aggregate gross revenue during its most recently completed fiscal year or any trailing twelve-month period, whichever is greater.
  • “Internal Business Use” means use by an eligible organization and its authorized personnel solely for that organization’s own operations, projects, research, products, or customer deliverables, without giving a third party access to the Software or T2T functionality.
  • “Lite” means the free feature tier identified in the Software, which currently includes Viewer, Verify, Restore, and eligible public-model network functionality.
  • “Local Pro” or “Pro” means the paid, single-named-user license tier described at checkout and in the EULA.
  • “Service Provider Use” means making the Software, T2T, or their functionality available to any customer or other third party, including as a hosted service, managed service, API, cloud feature, platform integration, bureau service, timesharing arrangement, resale offering, or other revenue-generating service.
  • “Software” means Tensor Archive Local and any associated application, binary, local service, component, documentation, update, or replacement supplied by ExcursionPass.
  • “T2T” means ExcursionPass’s proprietary Tensor-to-Tensor Transport protocol, software, architecture, and associated infrastructure.

4. The Services

Tensor Archive provides local model-native storage, versioning, verification, reconstruction, and transfer tools. Features may include:

  • downloading eligible public model content;
  • creating and compacting model families;
  • verifying and reconstructing archived content;
  • checking for and receiving software updates;
  • activating and validating licenses;
  • obtaining protected planning authorizations for eligible Pro operations; and
  • accessing the T2T network and related contribution functionality.

Some functions require an internet connection even though model processing and storage occur locally. In particular, activation, updates, public-model downloads, T2T features, and protected Pro planning operations may communicate with Tensor Archive or third-party infrastructure.

The precise features available to you depend on your platform, application version, plan, license status, network status, and applicable third-party services.

5. Free Tier and Trial

5.1 Lite

Lite is offered without a purchase. The core Viewer, Verify, Restore, and eligible T2T network-access functions are available without a recurring license fee during the Commercial Lifetime of Tensor Archive Local. Lite features, interfaces, supported formats, network sources, and operational requirements may evolve as the product develops.

5.2 Pro trial

An eligible installation may receive one 14-day Local Pro trial without an account, payment card, or automatic charge. The trial enables the Pro features identified in the Software. When the trial expires, the installation automatically returns to Lite unless a valid Local Pro license is activated.

The trial is intended for genuine evaluation. You may not reset installation identifiers, manipulate devices, use virtual machines, create false identities, or take other steps to obtain repeated or overlapping trials. We may deny, limit, or revoke a trial where we reasonably detect abuse, fraud, technical error, or a security risk.

6. Local Pro License Purchase

6.1 License, not ownership

The USD $199 one-time transaction purchases a license to use Local Pro; it does not transfer ownership of the Software, T2T, or any intellectual property. Full license terms are set out in the EULA.

6.2 Included rights

Unless checkout expressly states otherwise, a Local Pro license includes:

  • one named natural person;
  • activation on up to three computers at the same time;
  • Internal Business Use, subject to Section 7;
  • use of the licensed Local Pro version for the Commercial Lifetime of Tensor Archive Local, subject to the EULA;
  • Pro feature updates released during the first 12 months after purchase; and
  • eligible T2T network access, or materially equivalent successor network functionality, without a recurring license fee during the Commercial Lifetime of Tensor Archive Local, subject to Section 9.

The update period does not limit the duration of the underlying license to the version and Pro features validly obtained during that period. Updates released after the 12-month period, premium support, Enterprise functionality, private network deployments, server or headless deployments, and Service Provider Use are not included unless expressly stated in a separate order.

6.3 Meaning of “lifetime”

“Lifetime,” “lifetime access,” and “perpetual use,” when used in connection with Local Pro, mean use during the Commercial Lifetime of Tensor Archive Local. They do not promise that the product, company, network, online services, or any particular feature will exist for the lifetime of the purchaser.

If ExcursionPass permanently ceases operating Tensor Archive Local without a successor, including because of dissolution, insolvency, or cessation of business, the Commercial Lifetime ends. To the extent technically possible, a previously activated local version may continue to operate, but continued online authorization, network availability, support, hosted infrastructure, third-party services, or future compatibility is not guaranteed after the Commercial Lifetime ends.

6.4 No subscription or automatic renewal

Local Pro is a one-time license purchase, not a recurring subscription. The 14-day trial does not automatically convert to a paid plan and does not trigger an automatic charge.

7. Business and Enterprise Use

7.1 Permitted Internal Business Use

Subject to the eligibility, named-user, and device limits of the purchased plan, you may use the Software internally for your own commercial or business operations. You may use, distribute, license, sell, or otherwise commercialize your own models, archives, and other content processed using the Software, provided you have all necessary rights in that content. ExcursionPass acquires no ownership of your content merely because you process it with Tensor Archive.

7.2 Enterprise eligibility

An Enterprise agreement is required if:

  1. you are an Enterprise Customer;
  2. you engage in any Service Provider Use, regardless of your organization’s size or revenue;
  3. you deploy the Software for more than one named user or beyond the purchased device limit; or
  4. an Enterprise feature, private deployment, server deployment, headless worker, custom integration, or support commitment is required.

If you become an Enterprise Customer after purchasing Local Pro, you must contact us within 30 days and obtain an Enterprise agreement before continuing to use Local Pro for that organization. The named user may retain the underlying Local Pro license for personal use or other non-Enterprise-eligible use, but the lifetime license does not waive Enterprise eligibility for organizational use.

7.3 No avoidance

You may not divide purchases, revenue, workers, deployments, or operations among employees, contractors, subsidiaries, Affiliates, devices, or nominally separate entities to avoid Enterprise eligibility, named-user limits, device limits, or Service Provider restrictions. Revenue and workers are measured in the aggregate across you and your Affiliates.

7.4 Enterprise agreements

Enterprise rights are granted only through a separate written agreement or order form authorized by ExcursionPass. Payment for one or more Local Pro licenses does not create Enterprise rights.

8. Payment, Taxes, Delivery, and Refunds

8.1 Payment

Prices are displayed in U.S. dollars unless stated otherwise. You authorize our payment processor to charge the amount and taxes shown at checkout. You are responsible for providing complete and accurate billing information.

Stripe processes payment card information. Tensor Archive does not receive your complete card number or card security code, but we may receive transaction, customer, email, fraud-prevention, refund, and dispute information from Stripe.

8.2 Taxes

Displayed prices exclude sales, use, value-added, withholding, and similar taxes unless checkout expressly states that taxes are included. We may collect taxes where we determine that collection is required. You remain responsible for taxes that applicable law requires you to pay directly, excluding taxes based on our net income.

8.3 Electronic delivery

Local Pro is electronically delivered through the checkout and activation process. You are responsible for securely retaining your activation code and license materials. Contact us promptly if a completed payment does not produce a usable license.

8.4 Refund policy: all sales final

Because an eligible user can evaluate Pro for 14 days without a payment card, Local Pro purchases are final and non-refundable except where applicable law requires a refund or we expressly agree otherwise in writing. We may correct or refund a duplicate charge, unauthorized transaction, checkout error, or license delivery failure after verification.

A refund, payment reversal, or chargeback terminates the corresponding paid entitlement. You must stop using Pro under that entitlement and delete or deactivate the associated license materials. Viewer, Verify, Restore, and other eligible Lite functionality remain available.

This Section 8 is our return and refund policy. The legal seller is ExcursionPass Inc. at the address stated in Section 1.

9. T2T Network

9.1 Proprietary network

T2T is proprietary Tensor Archive technology for accelerated, authorized upload, download, verification, and reconstruction workflows. Access to the T2T network does not grant any right to implement, reproduce, emulate, reverse engineer, resell, host, or otherwise exploit T2T.

9.2 Network operation and participation

Depending on your version and enabled settings, the Software may:

  • locate eligible sources for public model content;
  • retrieve verified model data through T2T;
  • make eligible, verified public model data on your device available as an authorized network source;
  • cache, stage, verify, and reconstruct transferred data; and
  • calculate non-cash contribution or usage balances.

The Software will provide the then-current controls and notices for network participation. T2T participation does not authorize Tensor Archive to obtain ownership of your models or to make private model data available as public content. You must not deliberately mislabel private, confidential, restricted, or non-redistributable content as public.

9.3 Limited content license

When you intentionally make content available through T2T, you grant ExcursionPass a non-exclusive, worldwide, royalty-free license to route, copy, cache, stage, transmit, verify, and technically format that content solely as needed to operate, secure, improve, and provide the T2T network. This license ends when the content is removed from active network availability, except that temporary, backup, security, and integrity copies may remain for a reasonable period.

You represent that you have all rights necessary to grant this limited license and to permit the content’s transfer and use. Merely possessing a model or having access to a repository does not necessarily grant redistribution rights.

9.4 Contribution balances

Any “karma,” contribution credit, byte balance, priority, score, or similar network measure:

  • is an operational feature, not money, property, stored value, or a security;
  • cannot be purchased, sold, transferred, redeemed for cash, or withdrawn;
  • may be calculated, corrected, limited, reset, or discontinued to prevent abuse or maintain network health; and
  • does not guarantee any particular speed, source, availability, or service level.

9.5 Network changes

T2T is an evolving service. We may change source-selection, security, authentication, contribution, caching, supported-content, compatibility, and abuse-prevention rules. We may block a model, source, destination, installation, credential, version, or transfer where reasonably necessary for security, legal compliance, rights enforcement, integrity, capacity, or network health.

We do not guarantee that any model, source, destination, transfer speed, throughput, route, or network feature will remain available.

10. Your Content and Third-Party Content

10.1 Your content

As between you and ExcursionPass, you retain your rights in models, weights, archives, manifests, files, and other content you own. The Software license does not grant us ownership of that content.

You are responsible for:

  • having the rights and permissions required to store, process, transfer, reproduce, distribute, or commercialize the content;
  • complying with model, dataset, repository, software, and other third-party licenses;
  • protecting confidential, personal, regulated, export-controlled, and proprietary information;
  • verifying reconstructed output before relying on it; and
  • maintaining independent backups appropriate to the value and risk of your content.

10.2 Third-party repositories and models

Tensor Archive may help you access content offered by third-party repositories, publishers, or services. That content remains governed by its publisher’s license, terms, access restrictions, acceptable-use policies, and applicable law. Tensor Archive does not grant you rights to third-party content and does not guarantee that third-party content is accurate, safe, lawful, available, or suitable for your purposes.

10.3 No responsibility for model behavior

Tensor Archive stores, transfers, verifies, and reconstructs model files. We do not control how a model was trained or how it behaves when used. You are responsible for evaluating model provenance, security, licensing, accuracy, safety, and suitability.

11. Acceptable Use

You must not, and must not enable or assist anyone else to:

  1. use the Services or T2T unlawfully or to infringe, misappropriate, or violate another person’s rights;
  2. transfer malware, malicious models, corrupted content, stolen credentials, unlawfully obtained data, or content you are not authorized to distribute;
  3. interfere with, disrupt, overload, degrade, or evade controls of the Services, T2T, or another user’s systems;
  4. access or attempt to access non-public systems, data, credentials, APIs, administrative functions, sources, or destinations without authorization;
  5. scan, probe, penetration-test, fuzz, benchmark for exhaustion, or conduct security research against the Services or T2T without our prior written authorization or a separate published security-testing policy;
  6. forge, replay, manipulate, or falsify licenses, activations, device identities, signatures, manifests, receipts, contribution records, transfer records, source records, or authorization messages;
  7. scrape, automate, or use an unauthorized client, bot, emulator, modified binary, or interface to access the Services or T2T;
  8. conceal or misrepresent your identity, organization, Affiliates, revenue, workforce, plan eligibility, content rights, source status, or intended use;
  9. use Lite or Pro for Service Provider Use or other Enterprise-required use;
  10. circumvent usage, device, named-user, trial, update, security, entitlement, network, or access restrictions; or
  11. encourage, advertise, facilitate, or assist any prohibited activity.

12. Intellectual Property

The Services, Software, T2T, website, designs, documentation, protected planner policy, source and object code, algorithms, architecture, non-public interfaces, protocols, trademarks, and related materials are owned by ExcursionPass or its licensors and are protected by copyright, trade-secret, trademark, patent, contract, and other laws.

Except for the limited rights expressly granted in these Terms and the EULA, no right or license is granted by implication, estoppel, exhaustion, or otherwise. You may not use Tensor Archive names, marks, logos, or branding in a manner that suggests sponsorship, endorsement, or affiliation without written permission.

If you provide suggestions, ideas, feedback, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without restriction or compensation. This does not grant us ownership of your models, archives, or other content.

13. Copyright Complaints

We respect intellectual-property rights and may disable content, network availability, sources, or installations in response to a sufficiently supported infringement complaint.

A notice should identify the protected work, the allegedly infringing material and its location, the complaining party’s contact information, a good-faith statement that the disputed use is unauthorized, a statement under penalty of perjury that the notice is accurate and the sender is authorized to act, and a physical or electronic signature.

We may terminate or restrict repeat infringers in appropriate circumstances. This section does not state or imply that the contact above has been registered as a designated agent with the U.S. Copyright Office.

14. Privacy

Our collection and use of personal information are described in the Tensor Archive Privacy Notice at https://tensorarchive.ai/privacy/. The Services may process transaction information, contact information, network and security logs, installation and device identifiers, license and entitlement records, diagnostic information, and optional analytics as described in that notice.

Third-party services, including Stripe and model repositories, process information under their own privacy notices and terms.

15. Beta Features, Backups, and Product Claims

Some or all of Tensor Archive may be identified as alpha, beta, preview, evaluation, experimental, or pre-release. Such features may be incomplete, change without notice, contain errors, lose compatibility, or be withdrawn.

Do not use Tensor Archive as the only copy of valuable content. Maintain independent backups and perform Verify and Restore tests appropriate to your risk. Byte-exact restoration and storage or transfer performance depend on the content, source material, supported format, hardware, network, configuration, version, and successful completion of verification. Marketing examples and benchmarks are illustrative and do not guarantee your results. Tensor Archive is not general-purpose disk compression.

16. Suspension and Termination

We may suspend or restrict access to online Services, T2T, trials, license authorization, updates, sources, destinations, or content where we reasonably believe it is necessary to:

  • investigate or prevent fraud, piracy, abuse, infringement, security threats, or technical harm;
  • enforce plan, named-user, device, Enterprise, payment, or content-rights requirements;
  • respond to a refund, payment reversal, or chargeback;
  • comply with law, legal process, sanctions, or a valid rights complaint; or
  • protect Tensor Archive, its users, infrastructure, or third parties.

We may terminate these Terms for a material breach. Where the issue can reasonably be cured without creating security, legal, or operational risk, we may provide an opportunity to cure. Piracy, deliberate circumvention, credential trafficking, unauthorized service operation, malicious access, or repeated infringement may result in immediate termination.

Upon termination, rights granted under these Terms end. License rights under the EULA end as provided there. Sections that by their nature should survive will survive, including ownership, payment obligations, restrictions, disclaimers, liability limits, indemnification, and dispute terms.

17. Third-Party Services

The Services may link to, interoperate with, or depend on third-party services. We do not control those services and are not responsible for their terms, content, security, availability, changes, or acts. Your relationship with a third party is governed by your agreement with that third party.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, T2T, CONTENT, TRIALS, BETA FEATURES, AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. EXCURSIONPASS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT TENSOR ARCHIVE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH FUTURE HARDWARE OR SOFTWARE, IMMUNE FROM DATA LOSS OR SECURITY INCIDENTS, OR THAT ANY ARCHIVE, RESTORE, MODEL, SOURCE, TRANSFER, SPEED, STORAGE RESULT, OR THIRD-PARTY CONTENT WILL MEET YOUR REQUIREMENTS.

Nothing in these Terms excludes an express written warranty in a separately signed agreement or a warranty that applicable law does not permit us to disclaim.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCURSIONPASS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OR CORRUPTION OF DATA; LOSS OF MODELS, ARCHIVES, CONTENT, PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL, OR USE; COST OF SUBSTITUTE SERVICES; OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGE WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF EXCURSIONPASS AND THE OTHER PARTIES IDENTIFIED ABOVE ARISING OUT OF OR RELATING TO THE SERVICES, SOFTWARE, T2T, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID EXCURSIONPASS FOR THE SPECIFIC TENSOR ARCHIVE LICENSE OR SERVICE GIVING RISE TO THE CLAIM.

These exclusions and limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. They do not apply to liability that applicable law does not permit to be excluded or limited.

20. Business-User Indemnification

If you use Tensor Archive for business or organizational purposes, you will defend, indemnify, and hold harmless ExcursionPass and its Affiliates, officers, directors, employees, contractors, licensors, and service providers from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from:

  • your content or your transfer, distribution, commercialization, or use of it;
  • your violation of a third-party model, dataset, repository, software, privacy, confidentiality, export, or intellectual-property right;
  • your Service Provider Use or other use requiring an Enterprise agreement;
  • your violation of these Terms or the EULA; or
  • fraud, willful misconduct, unlawful conduct, or security abuse by you or anyone using your license or credentials.

We may control the defense and settlement of an indemnified claim. You will reasonably cooperate and may not settle a claim in a way that admits our fault or imposes obligations on us without our written consent.

21. Export Controls and Sanctions

You must comply with applicable U.S. and other export-control, import, and economic-sanctions laws. You represent that you are not located in, organized under the laws of, ordinarily resident in, or controlled by a prohibited territory or sanctioned party, and that you will not export, reexport, transfer, or use Tensor Archive in violation of applicable restrictions.

22. Governing Law and Disputes

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, each party will send the other a written description of the dispute and allow 30 days for a good-faith attempt to resolve it. Notices to ExcursionPass must be sent to the email and physical address in Section 1.

Except where applicable law requires otherwise, the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction. Each party consents to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.

Nothing prevents either party from seeking immediate injunctive or equitable relief for infringement, misappropriation, circumvention, unauthorized access, piracy, or a security threat. Mandatory rights and forums that cannot lawfully be waived remain unaffected.

23. Changes to These Terms

We may update these Terms prospectively to reflect product, legal, security, or operational changes. We will post the updated version and effective date and, where reasonably appropriate, provide additional notice.

The version accepted at purchase continues to govern the core paid-license grant, licensed device count, included update period, and meaning of lifetime for that purchase, unless a change is required by law or is reasonably necessary to address fraud, piracy, abuse, or a security threat. Continued use of evolving online Services and T2T after updated Terms take effect constitutes acceptance of the updated operational terms. If you do not accept them, you must stop using the affected online Services.

24. General Terms

These Terms, the EULA, the Privacy Notice, the checkout disclosure, and any applicable order form constitute the entire agreement about their subject matter and replace prior or contemporaneous statements on that subject.

You may not assign or transfer these Terms or a Local Pro license without our written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the Tensor Archive business.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A waiver must be in writing and applies only to the specific instance stated. Headings are for convenience. “Including” means “including without limitation.”

We are not liable for delay or failure caused by events beyond our reasonable control, including infrastructure failures, network outages, natural disasters, labor disputes, government action, war, terrorism, epidemics, third-party service failures, or widespread security incidents.
