Tensor Archive End User License Agreement

This End User License Agreement (the “EULA”) is a binding agreement between you and ExcursionPass Inc., the Delaware corporation that operates Tensor Archive (“ExcursionPass,” “Tensor Archive,” “we,” “us,” or “our”). It governs your installation and use of Tensor Archive Local and its associated components, documentation, updates, and proprietary Tensor-to-Tensor Transport technology.

THE SOFTWARE IS LICENSED, NOT SOLD. PURCHASING LOCAL PRO DOES NOT TRANSFER OWNERSHIP OF THE SOFTWARE OR T2T.

By selecting an “Accept & Download” button, installing, copying, starting a trial, activating a license, or using the Software, you accept this EULA and the Tensor Archive Terms of Service. If you do not agree, do not download, install, or use the Software.

1. Definitions

For this EULA:

  • “Affiliate” means an entity that directly or indirectly controls, is controlled by, or is under common control with another entity. “Control” means ownership of more than 50% of voting interests or the legal power to direct the entity’s management.
  • “Authorized User” means the single named natural person to whom a Local Pro license is assigned.
  • “Commercial Lifetime” means the period during which ExcursionPass or its successor continues to operate and make Tensor Archive Local commercially available as a product. It does not mean the lifetime of a purchaser, user, device, ExcursionPass, or any individual.
  • “Computer” means one physical or virtual computing environment. A virtual machine, virtual desktop, containerized desktop environment, remote desktop host, or replaced operating-system installation may require a separate activation.
  • “Enterprise Customer” means an organization that, together with its Affiliates, has either (a) 250 or more employees and individual contractors, calculated on a full-time-equivalent basis, or (b) more than USD $20 million in aggregate gross revenue during its most recently completed fiscal year or any trailing twelve-month period, whichever is greater.
  • “Internal Business Use” means use by an eligible organization and its authorized personnel solely for that organization’s own operations, projects, research, products, or customer deliverables, without giving a third party access to the Software or T2T functionality.
  • “Lite” means the free feature tier identified in the Software, which currently includes Viewer, Verify, Restore, and eligible public-model network functionality.
  • “Local Pro” or “Pro” means the paid, single-named-user feature tier described at checkout.
  • “Service Provider Use” means making the Software, T2T, or their functionality available to any customer or other third party, including as a hosted service, managed service, API, cloud feature, platform integration, bureau service, timesharing arrangement, resale offering, or other revenue-generating service.
  • “Software” means Tensor Archive Local and each application, executable, binary, local service, protected planner client, library, component, documentation, update, or replacement supplied by ExcursionPass under this EULA. Third-Party Components are addressed separately in Section 12.
  • “T2T” means ExcursionPass’s proprietary Tensor-to-Tensor Transport protocol, software, architecture, and associated infrastructure.

2. Ownership and Reservation of Rights

The Software and T2T are proprietary technology of ExcursionPass and its licensors and contain confidential and trade-secret elements. ExcursionPass and its licensors retain all right, title, and interest in:

  • the Software and every copy, version, update, and derivative work;
  • all source code, object code, protected planning policies, encoders, algorithms, architectures, data structures, non-public file structures, cryptographic materials, and implementation details;
  • T2T, including its protocol behavior, messages, authorization systems, source-selection logic, contribution logic, non-public interfaces, and infrastructure;
  • documentation, designs, research materials, benchmarks, trademarks, and trade secrets; and
  • all associated copyright, patent, trademark, trade-secret, contractual, and other intellectual-property rights.

This EULA grants only the limited rights expressly stated below. No right is granted by implication, estoppel, exhaustion, or otherwise. Possession of a copy, installer, activation code, license file, binary, network message, or documentation does not transfer ownership.

Your models, weights, archives, manifests, and other content remain yours or your licensors’. Using the Software does not transfer ownership of your content to ExcursionPass.

3. Lite License

Subject to this EULA, ExcursionPass grants you a limited, non-exclusive, non-transferable, non-sublicensable, terminable license during the Commercial Lifetime of the applicable Software to:

  1. install and execute an authorized copy of Tensor Archive Local;
  2. use the Lite features made available in that version; and
  3. use Viewer, Verify, and Restore for lawful content under your control.

Lite may include eligible public-model downloads and T2T network functionality. Lite does not include Pro creation, compaction, versioning, or other features identified as paid functionality.

4. Trial License

If the Software determines that an installation is eligible, ExcursionPass grants the Authorized User a limited, non-exclusive, non-transferable, non-sublicensable trial license to use the identified Pro features for 14 days.

The trial:

  • is provided for genuine evaluation only;
  • does not require a payment card;
  • does not automatically create a paid license or charge;
  • is limited to one trial per user, organization, and eligible installation unless ExcursionPass expressly approves otherwise; and
  • automatically returns to Lite when it expires or is revoked.

You may not evade trial limits by resetting identifiers, manipulating devices, using virtual environments, creating false identities, or otherwise misrepresenting eligibility.

5. Local Pro License Grant

5.1 License scope

After ExcursionPass confirms payment and issues a valid Local Pro entitlement, ExcursionPass grants the Authorized User a limited, non-exclusive, non-transferable, non-sublicensable, terminable license to:

  1. install and execute authorized copies of the Software on up to three Computers at the same time;
  2. use the Local Pro features validly included in the licensed version;
  3. use the Software for personal use and permitted Internal Business Use; and
  4. use the licensed Local Pro version during the Commercial Lifetime of Tensor Archive Local, subject to this EULA.

The license belongs to one named natural person. It may not be shared, concurrently pooled, rotated among workers, or treated as a floating or organization-wide seat. Contact ExcursionPass for an approved permanent reassignment or additional users.

5.2 Activation changes

The Authorized User may activate up to three Computers. A deactivated Computer may be replaced subject to the available activation process and reasonable anti-fraud controls. Reinstallation, major hardware changes, virtual-machine changes, or operating-system replacement may be treated as a new Computer.

The ability to activate a replacement Computer is not limited to the 12-month update period. Activation remains subject to the three-Computer limit, valid entitlement status, supported activation infrastructure, security requirements, and the Commercial Lifetime.

5.3 Updates

The purchase includes Pro feature updates released during the 12 months following the purchase date. At the end of that period:

  • the license to the validly obtained Local Pro version and features does not expire merely because the update period ended;
  • ExcursionPass is not obligated to provide later Pro feature releases, upgrades, new paid modules, premium support, or compatibility updates;
  • ExcursionPass may provide security, network, restore, verification, or compatibility updates without extending the paid update period; and
  • access to a later paid update period may require a separate purchase.

Updates may add, change, replace, or remove features where reasonably necessary for security, law, compatibility, product integrity, third-party changes, or product development. ExcursionPass will not use an update merely to convert the validly purchased Local Pro license into a recurring subscription.

5.4 Meaning of lifetime and perpetual

“Lifetime,” “lifetime access,” and “perpetual use” mean use during the Commercial Lifetime of Tensor Archive Local, not the lifetime of the purchaser, Authorized User, Computer, ExcursionPass, or any individual.

If ExcursionPass permanently ceases operating Tensor Archive Local without a successor, including because of dissolution, insolvency, or cessation of business, the Commercial Lifetime ends. To the extent technically possible, a previously activated local version may continue to operate, but continued online authorization, protected planning, network availability, support, hosted infrastructure, third-party services, or future compatibility is not guaranteed after the Commercial Lifetime ends.

5.5 Features not included

Local Pro does not include:

  • more than one Authorized User or three activated Computers;
  • Service Provider Use;
  • an independent right to implement or access T2T;
  • server, data-center, headless-worker, hosted, private-network, on-premises, or air-gapped deployment rights unless expressly offered in Local Pro;
  • source code or rights to inspect or modify the Software;
  • service levels, uptime commitments, dedicated support, custom engineering, or indemnification by ExcursionPass; or
  • Enterprise rights.

6. Permitted Commercial Use and Enterprise Boundary

6.1 Internal commercial use is allowed

An eligible organization may purchase a Local Pro seat for an Authorized User and use it for Internal Business Use. The Authorized User may use Tensor Archive when creating, storing, versioning, verifying, reconstructing, and delivering the organization’s own models, archives, and products. The organization may commercialize its own content and outputs, subject to third-party rights.

This permission does not allow the organization to provide access to the Software or T2T itself.

6.2 Enterprise agreement required

A separate Enterprise agreement is required if:

  1. the user or organization is an Enterprise Customer;
  2. the Software or T2T is used for any Service Provider Use, regardless of organization size or revenue;
  3. more users, Computers, server workers, integrations, private deployments, or support rights are needed than the Local Pro license permits; or
  4. the Software is embedded in, controlled through, exposed by, or operated as part of a product or service used by a third party.

Examples requiring an Enterprise or Service Provider agreement include:

  • offering Tensor Archive functionality through an API;
  • operating archive creation, compaction, transfer, verification, or restore jobs for customers as a hosted or managed service;
  • embedding T2T into a platform, cloud product, marketplace offering, model hub, storage service, or commercial application;
  • reselling, sublicensing, renting, leasing, or timesharing the Software;
  • allowing customers to submit jobs, initiate transfers, control the Software, or access T2T through your environment; and
  • operating shared or headless infrastructure for multiple users or customers.

6.3 Growth into Enterprise eligibility

If the licensee becomes an Enterprise Customer, it must notify ExcursionPass within 30 days and obtain an Enterprise agreement before continuing organizational use. The Authorized User may retain the underlying Local Pro license for personal use or other non-Enterprise-eligible use, but the lifetime license does not permanently exempt an organization from Enterprise eligibility.

6.4 Aggregation and anti-avoidance

Worker count and revenue are aggregated across the licensee and its Affiliates. You may not divide purchases, personnel, revenue, operations, devices, or use among employees, contractors, subsidiaries, Affiliates, or nominally separate entities to avoid Enterprise eligibility, named-user limits, device limits, or Service Provider restrictions.

7. T2T License and Network Use

7.1 Limited right to use authorized T2T functionality

Subject to this EULA, you may use only the T2T functionality exposed through an unmodified, authorized version of the Software and only for its intended end-user purpose. No independent implementation, protocol, hosting, server, resale, redistribution, or commercialization right is granted.

7.2 Authorized network participation

Depending on your version and enabled settings, the Software may use T2T to:

  • locate authorized sources and destinations;
  • retrieve eligible, verified public model content;
  • make eligible, verified public model content on your Computer available as an authorized network source;
  • cache, stage, transmit, verify, and reconstruct transferred data; and
  • calculate non-cash contribution or usage balances.

The Software will provide then-current controls and notices governing network participation. You authorize the network operations you enable through those controls. You must not make private, confidential, restricted, personal, export-controlled, or non-redistributable content available through T2T without all necessary rights and an expressly supported private-use feature.

Network participation grants no ownership interest in content obtained from another source. Third-party content remains governed by its applicable license.

7.3 Included access; no service level or permanent route

Eligible T2T network access, or materially equivalent successor network functionality offered to Lite users, is included without a recurring license fee during the Commercial Lifetime of Tensor Archive Local, subject to eligibility, security, capacity, lawful use, and these terms. ExcursionPass may evolve or replace the protocol and network architecture and does not guarantee any particular source, destination, model, route, availability, speed, throughput, contribution balance, or uninterrupted operation.

8. Proprietary Software and Anti-Piracy Restrictions

Except with ExcursionPass’s prior written authorization, you must not, directly or indirectly, and must not enable or assist another person to:

  1. copy the Software except for authorized installation or a lawful backup, or modify, translate, adapt, alter, patch, or create derivative works from the Software or T2T;
  2. open, inspect, unpack, dump, extract, decompile, disassemble, debug, decode, or otherwise attempt to derive or obtain source code, internal structure, algorithms, cryptographic material, non-public interfaces, or implementation details;
  3. reverse engineer, reproduce, emulate, clone, reimplement, or create a compatible or competing implementation of the Software, T2T, or any non-public Tensor Archive protocol or interface;
  4. intercept, monitor, record, replay, simulate, forge, or manipulate T2T communications, private APIs, authorization messages, manifests, receipts, device identities, source records, contribution records, or network requests;
  5. bypass, disable, remove, interfere with, or defeat a license check, activation mechanism, named-user limit, device limit, entitlement control, digital signature, integrity check, access restriction, update restriction, usage limit, contribution rule, security control, or other technical protection;
  6. generate, counterfeit, share, publish, sell, rent, transfer, or distribute license keys, activation data, authentication tokens, device credentials, signing material, cracked binaries, loaders, patches, exploits, or circumvention instructions;
  7. use an unauthorized, modified, automated, emulated, or third-party client, server, node, interface, bot, or tool to access the Software, T2T, protected planning, licensing, update, or Tensor Archive infrastructure;
  8. extract, disclose, publish, use, or traffic in a protected planning policy, private key, credential, confidential benchmark, non-public documentation, trade secret, or other non-public Tensor Archive material;
  9. sell, sublicense, rent, lease, host, timeshare, distribute, provide as a service, or otherwise make the Software or T2T functionality available to another person, except for Internal Business Use expressly permitted by the purchased plan;
  10. remove, alter, conceal, or falsify a copyright, trademark, patent, attribution, license, security, or proprietary notice;
  11. scan, probe, penetration-test, fuzz, or conduct security or vulnerability testing against the Software, T2T, or related infrastructure without ExcursionPass’s prior written authorization or a separate published security-testing policy; or
  12. attempt, encourage, advertise, facilitate, instruct, or assist any of the foregoing activities.

These restrictions apply to the maximum extent permitted by law. They do not limit a right that applicable law expressly makes non-waivable, including any strictly applicable statutory exception. Any activity relying on such an exception must remain within its legally permitted scope and may not be used to facilitate infringement, circumvention, unauthorized access, disclosure of trade secrets, or distribution of circumvention tools.

9. Activation, Technical Protection, and Compliance

The Software may use signed licenses, installation identifiers, device public keys and fingerprints, entitlement records, protected remote planning, integrity checks, update signatures, and other technical measures to enforce this EULA and protect users and Tensor Archive.

You must keep activation codes, license files, device credentials, and other authentication material confidential. You are responsible for activity performed through your license or credentials. Notify ExcursionPass promptly if they are lost, disclosed, stolen, or compromised.

ExcursionPass may validate license and plan eligibility and may require reasonable information or certification concerning Authorized Users, Computers, Affiliates, revenue, workforce, and deployment. An organization must maintain records reasonably sufficient to demonstrate compliance.

ExcursionPass may deactivate or block a license, credential, Computer, or version associated with:

  • a refund, payment reversal, chargeback, fraud, or disputed entitlement;
  • key sharing, counterfeiting, piracy, circumvention, or unauthorized modification;
  • material violation of this EULA;
  • Enterprise-ineligible organizational use;
  • a compromised credential or security threat; or
  • a legal requirement or valid rights-enforcement request.

Where practicable and consistent with security and legal obligations, ExcursionPass will provide a way to contact support about an erroneous block.

10. Updates and Support

The Software may check for signed update metadata and may notify you of available updates. You are responsible for installing applicable updates and for retaining an installer and license materials for any version you intend to keep using.

We may require a security, integrity, network, or compatibility update as a condition of continued access to online Services or T2T. Requiring such an update does not extend the paid feature-update period.

No technical support, response time, maintenance commitment, service level, or future-platform compatibility is included unless stated at checkout or in a separate signed agreement.

11. Your Content, Verification, and Backups

You retain your rights in content you own. You are solely responsible for:

  • ensuring that you have the right to process, reproduce, transfer, distribute, or commercialize each model, archive, dataset, file, and related material;
  • complying with third-party licenses, repository terms, access restrictions, confidentiality duties, privacy obligations, sanctions, and export controls;
  • testing Verify and Restore before deleting or replacing source material;
  • maintaining independent backups appropriate to the content’s importance; and
  • examining reconstructed output before using it in production.

Do not use Tensor Archive as the only copy of valuable data. No storage, compression, deduplication, reconstruction, or transfer system eliminates the need for independent backups and testing.

12. Third-Party Components

The Software may contain or operate with components governed by separate third-party licenses, including open-source licenses. Those components are identified in applicable notices, lockfiles, or a software bill of materials.

The applicable third-party license governs that Third-Party Component. Nothing in this EULA restricts a right expressly granted under a Third-Party Component’s license or imposes this proprietary license on code that ExcursionPass does not own.

For clarity, the presence of a Third-Party Component does not make Tensor Archive, T2T, the protected planner, or other ExcursionPass proprietary code open source and does not grant access to their source code.

Any separately distributed public verifier is governed only by the license included with that verifier package.

13. Beta and Pre-Release Software

Software identified as alpha, beta, preview, evaluation, experimental, or pre-release may be incomplete, contain defects, lose compatibility, or change or be withdrawn. It may not be suitable for production, archival, safety- critical, or sole-backup use.

You assume the risks of using pre-release Software and must maintain source material and independent backups. Performance examples and benchmarks are not guarantees of your results.

14. Term and Termination

This EULA begins when you first accept it, install the Software, start a trial, or activate a license. The applicable license continues for the period stated in Sections 3, 4, or 5 unless terminated earlier.

Your license terminates automatically if:

  • you materially breach this EULA and fail to cure the breach after notice where a cure is reasonably available;
  • you engage in piracy, deliberate circumvention, credential trafficking, malicious access, unauthorized Service Provider Use, or repeated infringement;
  • the purchase is refunded, reversed, charged back, fraudulent, or invalid; or
  • continued licensing is prohibited by law.

ExcursionPass may immediately suspend licenses, online authorization, or T2T access while investigating a suspected security threat, piracy, fraud, or material violation.

Upon termination, you must stop using the affected paid or trial functionality and delete or deactivate the affected license materials and unauthorized copies. Lawfully obtained Lite functionality may remain available unless the termination also applies to Lite because of security abuse, unlawful use, or another material violation.

Sections concerning ownership, restrictions, payment, content responsibility, disclaimers, liability, indemnification, and disputes survive termination.

15. Enforcement and Remedies

A violation of Section 8 is a material breach. ExcursionPass may suspend access, revoke affected licenses and device activations, block compromised credentials or unauthorized clients, terminate associated lifetime access, and pursue other remedies available by law.

You acknowledge that piracy, disclosure of source code or trade secrets, circumvention, credential trafficking, unauthorized implementation of T2T, or unauthorized access may cause irreparable harm for which monetary damages are inadequate. ExcursionPass may seek temporary, preliminary, and permanent injunctive or equitable relief without limiting its other remedies and, to the extent permitted by law, without posting bond.

Nothing in this EULA limits rights or remedies available under copyright, trade-secret, patent, trademark, computer-access, anti-circumvention, contract, or other applicable law.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, T2T, DOCUMENTATION, CONTENT, TRIALS, AND BETA FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. EXCURSIONPASS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

EXCURSIONPASS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH FUTURE HARDWARE OR SOFTWARE, IMMUNE FROM DATA LOSS OR SECURITY INCIDENTS, OR THAT ANY ARCHIVE, RESTORE, MODEL, SOURCE, TRANSFER, SPEED, STORAGE RESULT, OR THIRD-PARTY CONTENT WILL MEET YOUR REQUIREMENTS.

Nothing in this EULA excludes an express written warranty in a separately signed agreement or a warranty that applicable law does not permit us to disclaim.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCURSIONPASS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OR CORRUPTION OF DATA; LOSS OF MODELS, ARCHIVES, CONTENT, PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL, OR USE; COST OF SUBSTITUTE SOFTWARE OR SERVICES; OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGE WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE, T2T, OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID EXCURSIONPASS FOR THE SPECIFIC TENSOR ARCHIVE LICENSE GIVING RISE TO THE CLAIM.

These exclusions and limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. They do not apply to liability that applicable law does not permit to be excluded or limited.

18. Business-User Indemnification

If you use the Software for business or organizational purposes, you will defend, indemnify, and hold harmless ExcursionPass and its Affiliates, officers, directors, employees, contractors, licensors, and service providers from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from:

  • your content or your processing, transfer, distribution, commercialization, or use of it;
  • your violation of a third-party model, dataset, repository, software, privacy, confidentiality, export, or intellectual-property right;
  • your unauthorized Service Provider Use or Enterprise-ineligible use;
  • your violation of this EULA; or
  • fraud, willful misconduct, unlawful conduct, or security abuse by you or anyone using your license or credentials.

ExcursionPass may control the defense and settlement of an indemnified claim. You will reasonably cooperate and may not settle a claim in a way that admits our fault or imposes obligations on us without our written consent.

19. Export Controls and U.S. Government Users

You must comply with applicable U.S. and other export-control, import, and economic-sanctions laws. You may not export, reexport, transfer, or use the Software or T2T in violation of applicable restrictions.

The Software and documentation are “commercial products,” “commercial computer software,” and “commercial computer software documentation” provided to U.S. Government end users only with the rights granted to other end users under this EULA, except to the extent a separately signed government agreement requires otherwise.

20. Governing Law and Disputes

This EULA and disputes arising from it are governed by Delaware law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, each party will send the other a written description of the dispute and allow 30 days for a good-faith attempt to resolve it.

Except where applicable law requires otherwise, the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction. Each party consents to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.

Nothing prevents ExcursionPass from seeking immediate injunctive or equitable relief for infringement, misappropriation, circumvention, unauthorized access, piracy, or a security threat. Mandatory rights and forums that cannot lawfully be waived remain unaffected.

21. Changes to This EULA

ExcursionPass may update this EULA prospectively for later downloads, purchases, releases, or online functionality. The version accepted when a Local Pro license is purchased continues to govern that purchase’s core license grant, Computer limit, included update period, and meaning of lifetime unless a change is required by law or is reasonably necessary to address fraud, piracy, abuse, or a security threat.

Continued use of evolving online Services or T2T may require acceptance of updated operational terms. If you do not accept those terms, you must stop using the affected online functionality; the valid local license remains governed by the version applicable to the purchase, subject to its technical dependencies and this EULA.

22. General

This EULA, the Terms of Service, the Privacy Notice, the checkout disclosure, and any applicable order form constitute the entire agreement concerning the Software. A separately signed Enterprise agreement or order form controls to the extent of a conflict.

You may not assign, transfer, sell, or sublicense this EULA or a Local Pro license without ExcursionPass’s written consent. ExcursionPass may assign it in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Tensor Archive business.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. A waiver must be in writing and applies only to the stated instance. Headings are for convenience. “Including” means “including without limitation.”
